Terms of Service

These terms cover use of this website and describe the general principles that govern project engagements. For any actual project, the signed agreement and written scope of work are the controlling documents — they always take precedence over this summary.

Last updated: 25 October 2026

1. Using this website

This website is operated by Amarisen Systems (Nigeria). By using it, you agree to these terms. The content — including service descriptions, workflow patterns and the System Lab demonstrations — is provided for general information. System Lab demos are illustrative, use fictional sample data, and do not constitute a representation that any specific client result will follow.

2. No guarantees of business outcomes

Nothing on this website is a promise of revenue, leads, rankings, conversion rates or operational improvements. We build systems that organise, connect and remind; business outcomes depend on many factors outside any system's control, including your offer, market, traffic sources and follow-up discipline. Any specific commitment we make exists only where written in a signed agreement — and even then, we commit to deliverables and process, not to market results.

3. Project engagements

Engagements begin only after: a written scope of work and proposal are agreed; a service agreement is signed by both parties; and the initial payment (deposit or first milestone) is received, as stated in the proposal. The agreement defines deliverables, exclusions, timeline, review stages, revision limits, acceptance process, payment milestones, third-party costs, handover conditions and any support terms.

4. Intellectual property and ownership

Stated accurately, not generously: you own your business data and the agreed custom deliverables, subject to the signed agreement and third-party licences. Amarisen Systems retains its pre-existing reusable tools and components, which may be licensed for your use as stated in the agreement. Third-party software and services remain under their own licences. Hosting and service accounts are established in your name wherever practical, and ownership is confirmed during handover. Website content — copy, design and demonstrations — is owned by Amarisen Systems and may not be reproduced without permission.

5. Payments

Currency, schedule, third-party costs, responsibility for transaction charges (where permitted), refund and cancellation conditions, and late-payment consequences are specified in each proposal before work begins. We offer a payment method only after verifying it works for our account and your intended transaction. Deposits for scheduled work are generally non-refundable once the reserved time has been committed, except where the agreement states otherwise.

6. Client responsibilities

Timely project success depends on the client providing: a single empowered project owner; feedback and approvals within agreed windows; content, access and information the scope requires, shared through secure channels; and early notice of changing constraints. Delays caused by unavailable client inputs adjust timelines fairly, as defined in the agreement.

7. Acceptable use and project standards

We build only for businesses and purposes consistent with our Halal-aligned standard. We decline projects that directly facilitate impermissible activities, demand deceptive or manipulative user experiences, require capabilities beyond our responsible competence, or violate third-party platform terms. Discovering, after agreement, that a project requires any of these is grounds for professional withdrawal per the agreement's termination terms.

8. Confidentiality

Client business information received during assessments and projects is treated as confidential, used only for the agreed purpose, and not disclosed except as required by law or as necessary to deliver the project (with subprocessors disclosed in the scope). Mutual NDAs are available where appropriate.

9. Liability

To the extent permitted by applicable law, our liability in connection with any engagement is limited as stated in the signed agreement — typically to fees paid for the relevant work. We are not liable for indirect or consequential losses, third-party service failures, or outcomes arising from use of a delivered system contrary to its documented scope. Nothing in these terms excludes liability that cannot lawfully be excluded.

10. Support and maintenance

Post-handover support exists only where agreed (for example, a Monthly Operations Partnership or a defined support window). Its response expectations, inclusions, exclusions and change-request process are documented in the support terms. Outside an agreed arrangement, we will help where reasonably possible but make no standing commitment.

11. Governing arrangements and disputes

The signed agreement states the governing law and dispute resolution process appropriate to the parties and jurisdiction. Our default posture is resolution through direct, documented conversation first; escalation mechanisms follow only as the agreement provides. For cross-border engagements, jurisdiction questions deserve qualified legal review — we say so openly rather than burying a choice-of-law clause nobody reads.

12. Changes to these terms

These website terms may be updated; the revision date above will change. Project terms change only by written agreement of both parties.

An honest limitation

These terms are a plain-language summary, not legal advice, and they do not guarantee enforceability in every jurisdiction. The signed project agreement controls. Where jurisdiction-specific contract, tax or regulatory questions arise, both parties should obtain qualified professional advice.
